Terms and conditions

§ 1. General and Parties

These terms of trade (“Terms”) govern the agreement between HAGD Collect (“Provider”, “we”, “us”) and the private individual (“Customer”, “you”) who purchases products or services through the HAGD Collect webshop.

The Provider is:

These Terms are drawn up in accordance with Danish law and applicable EU legislation, including the European Parliament and Council Directive on consumer rights (2011/83/EU) and the GDPR Regulation (2016/679).

§ 2. Prices

All prices are shown in the webshop and are stated inclusive of VAT unless otherwise indicated. The Provider reserves the right to adjust prices at any time. The price applicable at the time of the Customer’s order is the binding price.

§ 3. Payment

Payment is made by Mastercard or Visa. The amount is charged at the time of purchase, or — for recurring services — in advance at the start of each period.

In the event of late payment, the Provider may:

  • Send a reminder by email
  • Suspend access to any purchased service after 14 days past the due date
  • Cancel the order or terminate the agreement in the event of continued non-payment

§ 4. Right of Withdrawal

As a consumer, you have a 14-day right of withdrawal from the date you enter into the agreement, pursuant to the rules of the Danish Consumer Contracts Act and EU Directive 2011/83/EU on consumer rights.

Please note: If you explicitly request that a digital service be provided before the withdrawal period expires, and confirm that you are aware that the right of withdrawal will lapse upon full delivery, you will lose the right to withdraw.

To exercise your right of withdrawal, you must contact us at contact@hagdcollect.dk within 14 days with a clear statement that you wish to withdraw from the agreement. You may use the EU standard withdrawal form.

In the event of a valid withdrawal, the amount paid will be refunded as soon as possible and no later than 14 days after we have received your withdrawal notice.

§ 5. No Facilitation of Sales Between Users

HAGD Collect is a software platform that allows collectors to catalogue artworks, present them within a private network, and connect directly with one another. The Provider is not a marketplace operator, broker, dealer, agent, auctioneer, escrow service, or payment processor.

5.1 No Party to Transactions

Any sale, purchase, exchange, loan, gift, or other transfer of artworks or other items between users — whether initiated, discussed, or completed on the platform or elsewhere — is a transaction exclusively between the users involved. The Provider is not a party to any such transaction and takes no part in negotiating, concluding, executing, or settling it.

5.2 No Facilitation, No Commission

The Provider does not facilitate, intermediate, advise on, or otherwise assist in transactions between users. The Provider does not collect, hold, transfer, or process any payments between users. The Provider does not charge any commission, fee, or share of the proceeds from sales made between users — whether such sales originate on the platform or elsewhere.

5.3 No Responsibility for Artworks or Counterparties

The Provider makes no representations and gives no warranties regarding:

  • The authenticity, attribution, provenance, condition, quality, value, or legal status of any artwork or item presented on the platform
  • The accuracy or completeness of information provided by users about themselves or their artworks
  • The identity, reliability, solvency, or legal capacity of any user
  • The willingness or ability of any user to complete a transaction

Users are solely responsible for verifying these matters before entering into any transaction.

5.4 User Responsibility

Users transact with one another entirely at their own risk and on their own account. Each user is solely responsible for:

  • Conducting their own due diligence on artworks, sellers, and buyers
  • Negotiating and agreeing the terms of any transaction
  • Arranging and bearing the cost of payment, delivery, transport, insurance, customs, and any other practical aspects
  • Complying with all applicable laws, including tax, VAT, import/export, anti-money laundering, and cultural heritage legislation
  • Reporting and paying any taxes, duties, or other levies arising from the transaction

5.5 No Liability for Disputes or Losses

The Provider is not responsible for, and accepts no liability in respect of, any dispute, disagreement, loss, damage, fraud, misrepresentation, non-delivery, non-payment, or other adverse outcome arising from or in connection with transactions between users. Any such matter must be resolved directly between the users concerned.

The Provider has no obligation to mediate, arbitrate, investigate, or otherwise involve itself in disputes between users, but reserves the right — at its sole discretion — to suspend or terminate the accounts of users who breach these Terms or engage in unlawful or harmful conduct.

§ 6. Processing of Personal Data

6.1 Data Controller

The Provider is the data controller for the processing of the Customer’s personal data. Processing is carried out in accordance with the GDPR Regulation (2016/679) and the Danish Data Protection Act.

6.2 What Data We Process

  • Contact details (name, email address)
  • Payment information (processed via a certified payment provider)
  • Usage data (log activity, features used)
  • Technical data (device type, browser, IP address)

6.3 Purposes and Legal Basis

  • Provision and administration of services – performance of contract (GDPR art. 6(1)(b))
  • Invoicing and payment processing – legal obligation (GDPR art. 6(1)(c))
  • Improvement of services – legitimate interests (GDPR art. 6(1)(f))
  • Marketing communications – consent (GDPR art. 6(1)(a))

6.4 Your Rights

As a data subject, you have the right to:

  • Access your personal data
  • Rectification of inaccurate data
  • Erasure (“the right to be forgotten”)
  • Restriction of processing
  • Data portability
  • Object to processing

You may exercise your rights by contacting us at contact@hagdcollect.dk. You also have the right to lodge a complaint with the Danish Data Protection Agency (www.datatilsynet.dk).

6.5 Retention and Deletion

Personal data is not retained for longer than necessary. Data associated with a terminated agreement will be deleted no later than 3 years after the agreement ends, unless legislation requires a longer retention period.

6.6 Disclosure to Third Parties

We do not disclose personal data to third parties without the Customer’s consent, unless it is necessary to fulfil the agreement (e.g. a payment processor) or required by law. All data processors are subject to a data processing agreement.

§ 7. Intellectual Property

All software, design, content, and other elements offered through the webshop belong to the Provider or its licensors and are protected by copyright and other intellectual property rights.

The Customer is granted a non-exclusive, non-transferable right to use any purchased product or service, limited to the Customer’s own private use. Any copying, distribution, or commercial exploitation is prohibited.

§ 8. Limitation of Liability

The Provider is not liable for:

  • Indirect losses, including lost profits, data loss, or consequential damages
  • Losses arising from the Customer’s misuse of products or services
  • Technical failures by third parties (e.g. payment providers, cloud providers)

The Provider’s total liability to a Customer is in all circumstances limited to the amount paid by the Customer during the most recent 12-month period.

Please note: Nothing in these Terms limits the Provider’s liability for personal injury or death resulting from negligence, gross negligence, or wilful misconduct.

§ 9. Changes to the Terms

The Provider reserves the right to amend these Terms. Material changes will be communicated by email with at least 30 days’ notice before they take effect.

Continued use of the webshop and its services after the effective date will be considered acceptance of the amended Terms.

§ 10. Governing Law and Disputes

These Terms are governed by Danish law. Any disputes will be sought resolved amicably. If the parties cannot reach an agreement, the Customer may refer the matter to:

  • The Danish Consumer Complaints Board (www.forbrug.dk)
  • The EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr)

Legal proceedings will be brought before the court of the Customer’s or the Provider’s domicile in accordance with applicable procedural rules.
